Business Planning
Business planning involves not only structuring the legal entity of the business but also planning for the succession or transfer of the business. Working closely with our clients, we maximize the effectiveness of the business planning process. Because of our unique combination of knowledge in the construction, real estate, and business transaction areas, we are able to recommend strategic approaches to the business structure.
Contract Negotiation and Preparation
Many conflicts typically encountered can be avoided at the contract negotiation stage through clarification of the parties’ responsibilities. We provide consultation and assistance in the negotiation, drafting and review of a wide range of contractual agreements, including asset purchase and sale, leases, shareholder, employment and non-competition, and partnership and joint venture agreements.
Commercial Litigation
Avoidance of commercial disputes is not always possible. When disputes arise, our goal is to resolve them efficiently and effectively. We fully explore resolution through negotiation or litigation. In the event that the matter is taken to trial, we have substantial litigation experience, including minority shareholder disputes, partnership contests, tax appeals, employer covenants, and creditors’ claims.
Riverboat Gaming
Blumling & Gusky has national experience in riverboat casino and hotel developments. Our attorneys draw upon their expertise in maritime, financing, real estate acquisition and development, and legalized gaming issues to provide solutions to these interrelated and complex projects.
Labor and Employment
We represent employers on a wide range of employment and labor matters. Our practice includes regular counseling regarding discrimination and harassment claims, Family Medical Leave Act requests, unemployment claims, wage and hour compliance, OSHA charges, violations and fines, and employment disciplinary matters which may arise on a day to day basis for our clients. We also prepare employee manuals and policies and conduct training sessions for supervisors.
We have represented our clients before the U.S. Equal Employment Opportunity Commission, the Pennsylvania Human Relations Commission, and various municipal human relations commissions. We also defend employment cases in state and federal court.
On the private business side of employment law, in addition to preparing and negotiating employment contracts, we have successfully defended non-competition and confidentiality agreements for the protection of our clients in preliminary injunctions and related civil lawsuits.
We also provide traditional labor relations services to both union and merit shop employers. We have defended numerous unfair labor practices charges before the National Labor Relations Board, as well as handled union organizing drives, elections, mass picketing, secondary boycotts, trade jurisdictional disputes, successorship claims and other labor disputes. We also advise clients on corporate matters involving unionized operations, such as the acquisition/sale of unionized businesses, application of the WARN Act, and joint employer/alter ego issues. We have litigated ERISA and employee benefit claims that arise from collective bargaining agreements of our clients as well as their subcontractors.
